Terms of Use

Below are the Terms and Conditions governing VIP Cars’ Affiliate Program and the relationship between VIP Cars and the participant in the Affiliate Program (hereinafter also referred to as the program).

“We” in the Terms and Conditions will refer to “Webart Softech” trading as “VIP Cars”, “VIPCars” or “VIPCars.com” and the member of the VIP Cars Affiliate Program is referred to as “you” or “affiliate”.

Relationship Between Parties

• VIP Cars and you are independent contractors and have separate businesses operating independently meaning thereby no clause in the given agreement will or shall create any form of partnership, franchise, joint venture, or employment relationship between the parties.
• This agreement does not make you liable or authorize you to accept/make contracts, offers or commitments on behalf of VIP Cars. Neither you nor any of your employees, partners or agents are entitled to make any statement, written or oral, indicating/suggesting/claiming the existence of any such relationship.

Enrolling as an Affiliate

• To enroll, you must submit a completed online application with all the correct details.
• Websites with inappropriate content such as adult content or any kind of illegal activity-based content will not be approved to promote VIP Cars.

Affiliate Sign-up Approval

• The review and approval for partnership sign-up could take up to 48 hours and the Affiliate Sign-Up is on an approval basis.
• VIP Cars’ Affiliate Partnership is free of cost.
• VIP Cars holds the right to approve or reject the Affiliate Program application without mentioning any reason.

Obligations of an Affiliate

• You must agree and sign the Agreement set by VIP Cars Affiliate Program.
• The individual with the request to associate with VIP Cars through the Affiliate Program must be the owner of the website(s) they want to add our links to.
  
• You must maintain your connection with VIPCars.com while keeping a check on program validity.
• You must not share the provided logo, code, other tools, and services with a third party without permission or use the same for other website platforms not priorly permitted with VIP Cars. You are not allowed to duplicate the data, codes, and tools for any other purposes apart from the use of the VIP Cars’ Affiliate Program Agreement.
  
• You acknowledge that the VIP Cars site contains information, data, graphics, and other material protected by copyrights and trademarks and that these rights are valid and protected in all forms, media, and technologies existing now or hereinafter developed.
  
• As an Affiliate, you agree to maintain the confidentiality of the agreement and any other information shared with you through VIP Cars.
• Following the acceptance of the program application, VIP Cars will provide you with pre-approved hyperlinks to VIP Cars’ website.
• You must identify as a VIP Cars Affiliate and display to your audience the provided links on each website identified by you in the Program Application. As an Affiliate, you agree to promote our website through banners, text, booking forms, and other promotional materials on your platform/website(s).
• You will be solely responsible for the development and operations of your website. Proper formatting of the provided links is required to permit the tracking of the sales.
• Affiliates are prohibited from using unsolicited or illegal methods to promote the company's products and services. Spam or any form of unsolicited communication is not allowed. Affiliates must use only legal and ethical marketing strategies. The use of paid advertising channels is strictly prohibited, including:
  • Pay-Per-Click (PPC) ads
  • Display ads
  • Social media ads
• No commission will be paid for any sales generated through the disallowed methods, even if the sale is successful.
• Sales that do not have a referral URL, shall be considered sales generated by one of the prohibited traffic sources, hence, no commission shall be paid on those.
• You, as an affiliate, cannot create social media pages using VIP Cars’ name.
• You may not use any false or misleading language in your promotions or make false or deceptive claims about VIP Cars’ or its services.
• The return of the shared data and other tools and resources as provided by VIPCars.com is crucial if the contract is being terminated mutually at the affiliate’s end or by VIP Cars. You are also under an obligation to not use the same out of your contract limit of the VIP Cars Affiliate Program.
• You, the affiliate, hold the right to discontinue or not enter into any such affiliate partnership conducted between you and VIP Cars, at any given point in time. If at any point in time, you disagree with the clauses or the conditions or product service of VIPCars.com, you are free to end the contract. Such discontinuation would be mutually handled to respect the Affiliate’s interest.
• The affiliate agrees that during the time this agreement is active, VIP Cars may choose to display the affiliate’s logo, brand name, or other branding on its website, but it is not obliged to do so.

Booking Engine Use Conditions

• The Booking Engine code and design shared with you for the Affiliate Marketing Program, as created and controlled by VIP Cars, is its intellectual property and should in no way be copied, misused, shared, or plagiarized. For use of the same other than the purpose of affiliate marketing, you must seek approval from VIP Cars.
• VIP Cars holds the right to object to and govern the theme, presentation, and platform being used by the affiliate or use of the booking engine, to ensure better traffic.

Obligations of VIP Cars Towards an Affiliate

• VIP Cars, proprietor of the VIP Cars Affiliate Program, would be providing you with all the support and data, including but not limited to the logo, code to other tools and services, required for a flawless affiliate partnership with you.
• VIP Cars will work to provide the Affiliate with monthly reports on the number of visitors to our website through your website(s) and the commissions, if any.
• Along with abiding by the obligations set by VIP Cars the Affiliate also needs to ensure that the content of your website does not violate or infringe the rights of any third party. VIP Cars is not liable for such matters and you, the Affiliate, indemnify and shall not hold us responsible.
• VIP Cars holds the right to approve or reject the Affiliate Program application without mentioning any reason.
• The term of the contract will commence upon VIP Cars’ acceptance of your application and will continue until terminated.
• If at any time, the affiliate is found not abiding by the VIP Cars’ Affiliate Program Contract, we are liable to (immediately or on a warning basis) terminate or restrict your rights, access, and contract including payouts or commissions if any.
• Security:
• The booking engine is SSL-compatible and uses 256-bit encryption to maintain secure and safe transactions for the customers.
• Technology:
• VIP Cars uses the latest/high-configuration servers and firewall to ensure that all our affiliate websites run smoothly and securely without any downtime. A team of highly qualified technical staff supports VIP Cars and ensures that downtime is avoided during any major maintenance or upgrade.

• Booking Engine Integration
• At VIP Cars, affiliates can maximize the benefit through our latest technology with full dedicated support and a highly user-friendly interface. Booking engine integration with us is simple and convenient. From easy linking, and JavaScript booking engine to advanced XML integration, VIP Cars offers multiple options. We provide you with both the options, readymade and custom-made booking engines, to assist you with your integration.

• Affiliate Support
• At VIP Cars, we provide the Affiliate with all the assistance necessarily needed with the booking engine integration and its functioning.
• When you sign up with us, we assign you your personal account manager and a dedicated support team to help you with the billing/technical assistance.

Commission and Charges

• VIP Cars will pay you, the Affiliate, a referral commission for the booking(s) during the agreement period through pre-approved links. Affiliate earnings are based on the net amount collected from completed rental bookings. Any deductions due to credit card fraud, chargebacks, bad debt, or refunds from cancellations or returns will be excluded from your total referral commission. The commission shall not be paid for the canceled booking.
• VIP Cars will pay the Affiliate up to 75% of the car rental commission (depending upon the agreed-upon commission model) on all completed car rental bookings through the affiliate website(s). The completed bookings indicate the ones where the rental period has ended and the rental has been returned to the car rental supplier. It is also implied that the invoice shall be only generated once the customer's journeys are completed (i.e., the pick-up date has passed) and the billing cycle is completed.
• Sales are validated and confirmed 30 days after the car rental drop-off date. This is to prevent any fraud and/or in case the customer makes any claims.
• All referrals must be made directly from affiliates' website(s), which must be listed within their affiliate account and pre-approved by us.
• Payout will be made on request of the Affiliate or if the commission amount reaches the standard benchmark of EURO 200 or equivalent for all completed rentals. Payouts can be made for amounts less than EURO 200 on special request of the Affiliate. In this case, you, the affiliate, have to bear the bank charges imposed (GBP 30 or equivalent).
• Payouts will be made via bank transfer or Paypal depending on the preference of Affiliate Commissions and will be rolled out in the first week of next month from the date of payout request. In case the Affiliate needs urgent disbursal, the payout will be made within 7 days from the date of request. For every payout, the Affiliate has to share bank or Paypal details in the request email.
• VIP Cars will pay the Affiliate a commission only if the Affiliate Referral is tracked in the Online Booking System.
• No commissions will be paid for the traffic generated by Pay-Per-Click advertising or for any social media advertisements or pages created.
• Commissions are not paid for bookings made by customers through paid channels. For example, if a customer clicks on the link on kayak.com or skyscanner.com or comes from AdWords or some other paid channel after clicking on an affiliate link, the commission for this booking will not be paid to the Affiliate, and the booking will not be counted as an Affiliate Referral.
• If the customer uses Booking Credit to book a car, it won’t be counted as an affiliate commission. Only the bookings completed with real money are commissionable.
• If an affiliate requests payouts to a business that doesn’t have a valid VAT, EIN, or similar tax identification number, and VIP Cars is required to cover the tax on their behalf, a reduced commission structure will apply to all affiliate sales on car rentals and Full Coverage.
• VIP Cars holds the right to cancel all sales and not pay the commissions for any sales already made if the Affiliate is found to have violated and/or is unable to prove there was any violation of the Affiliate Agreement.

Use of API

• You, as an API user, will be levied with a one time fee of € 500 for the use of API. In case an update is required, you would have to pay the fee in accordance with the same.

Modification

VIP Cars holds the right to modify any terms and conditions at any time without providing any prior information to the Affiliate. Once the terms are in place, the Affiliate shall be notified of the new terms and conditions by means such as posting on the website. If any proposed modification is unacceptable to the Affiliate, the Affiliate may terminate this Agreement. Send to: partners@vipcars.com

Conclusion

• All complaints, disagreements, and disputes regarding the affiliate marketing services must be brought to the attention of your affiliate manager with VIPCars.com at partners@vipcars.com.
• Every provision of these Terms and Conditions is separate and distinct. These Terms and Conditions supersede any previous discussions and agreements (whether oral or written) between VIP Cars and Affiliate.

Cookies Lifetime: 30 Days

After the visitor clicks on the affiliate link, the Affiliate will get commissions for all sales made in the next 30 days.
